Client Profile - Direct Healthcare Services

Direct Healthcare Services is a South Wales based manufacturer of bed frames, cushions and overlays for the pressure area care industry.

Springfords recently helped their management team complete a Management Buy-Out (MBO).

Our tax team worked alongside the company's legal advisors to structure a private equity backed deal valued at £15m.

The deal structure and tax requirements were complicated (read our article for details), but the team was successful in completing the deal within the 10 week timetable.

Company Share Buy Back

In private companies when an existing shareholder wishes to exit, it can create a problem.

The other shareholders may not have the financial means to purchase the shares personally and there may be no market for the shares externally.

In this kind of situation, a company share buy back approach can be an attractive option - for both the shareholder and the company.

Our article looks at how a company without sufficient cash could still buy back the shares and also the tax treatment the exiting shareholder might expect on the gain.

  • Ransomware - software that disrupts company processes

Our article looks at how these methods operate, and how you can take steps to guard against them.
